In a boardroom setting, these experienced and highly qualified Directors will debate several of the more difficult and controversial issues that may come before a board of directors. The topics will include a shareholder demand to spin-off a business segment, various activist proposals regarding the company’s annual proxy statement and the consideration of a "bear hug" letter from a private equity group seeking to purchase the entire company. During the course of their deliberations, the Board will be advised by both in-house and outside counsel.
